Crown Point Completes Initial Closing of its Remaining US$8.5 million Second Tranche Financing

TSX-V: CWV: Crown Point Energy Inc. (“Crown Point” or the “Company”) today announced that it has partially completed the remaining US$8,508,574 second tranche (the “Second Tranche“) of its aggregate US$15 million financing with Liminar Energy S.A. (“Liminar“) and GORC S.A. (“GORC” and together with Liminar, the “Strategic Investors“). Crown Point issued 3,210,640 common shares to Liminar at an issue price of US$0.25 per share for aggregate proceeds of US$802,660.

The purchase price was paid through the payment of $7 million Argentine pesos (“ARS“) (based on the USD – ARS exchange rate of Banco de la Nación Argentina at the close of business on February 26, 2015, being US$1.00 = ARS$8.721).   The balance of the Second Tranche financing will be completed in one or more closings in due course.

As a result of Liminar’s acquisition of 3,210,640 common shares, Liminar now owns and controls an aggregate of 29,176,344 common shares, representing approximately 21.8% of the issued and outstanding common shares of the Company. Under applicable securities laws and the rules of the TSX Venture Exchange, the common shares are subject to a four month hold period expiring on June 28, 2015.

The net proceeds from this closing will be used to fund the Company’s exploration and development program in Argentina and for general corporate purposes.
